Partners,

This well has produced a total of 69,682 MCF of natural gas and 640 barrels of oil. We are currently producing from the 7016-7020 interval and have it choked back since we expect oil to come in from this zone. We are beginning to see oil traces every handful of days but will be prudent about monitoring it before we push the well harder.

Reminder, K1s are to be done by March 31st by IRS guidelines but we typically get them done by the middle of February. They are mailed directly from our accounting firm. If you have not seen yours by Feb 15th, please let us know.

Partners,

We are now producing from the 7016-7020 interval in the well. The expectation was/is that the zone produces gas and that potentially, oil slowly creeps in and production improves. In order to facilitate that, we have the well choked back on 6/64 choke. We have started to see oil come in so we will continue to monitor it for the foreseeable future. As of now, the well is online and producing and has produced a cumulative total of 62,843 MCF of gas and 619 barrels of oil.

Statements will be slightly delayed this month due to the holiday. Happy Thanksgiving!

This well has produced a total of 58,462 Mcf of gas and 615 barrels of oil.

The interval we were producing from in this well started producing water and water out much more quickly than expected. We were forced to shut down that formation. We were able to schedule and get a workover rig to come on location and completed the well in the next zone (7016′-7020′). We got immediate feedback as far as pressure and hydrocarbons in that zone. The well is currently shut in while we have the gas from this zone tested. Once we have that analysis back, we can put the well back online and into production.

This well is online and producing, but still in its initial observation stages. It has produced a total of 53,443 MCF of gas and 595 barrels of oil. We have had a couple generators off and on, that they are working to rectify to help with production.

We have ALL the generators online! This is a recent development (over the last 2 weeks) so we will watch pressures and the well’s stability over the next 60-90 days to determine the best/max rate we can produce this well at.

So far this well has produced a total of 40,967 MCF of gas and 475 barrels oil. We are anxious to see what this well is capable of!

We are still waiting on parts for those last 2 generator setups. We were told that the ETA was July, but now the parts suppliers have admitted they have been on back order but expect them any time now. The good thing though is everything looks very promising with the other 13 generators, consistency and operation appear very good also. As soon as we get these last two generators done and online, we will be able to see what this well is capable of!

As of now, the well has produced a total of 28,169 mcf of gas and 370 barrels of oil.

The well is technically “on” but the production is still choked back considerably. We are down to waiting on the last 2 generators to be installed (we have the generators, but need a couple parts to get the last two up and running). Currently the well is producing both oil and gas but again at small amounts. So far it has produced 17,227 MCF of gas and 248 barrels of oil.

We are anxiously awaiting the last generators to see what the well’s potential may be. The parts we are waiting on come from the engine manufacturer and they have given us a timeframe to expect them. Our operator thinks he can have them up and running as soon as the second week in July.

The first statements on this project are being put in the mail this week along with a one page “how to read” the statement. The statements do reflect a smaller negative balance, which Alliance will carry with zero interest as we get the well going. First statements are very often a reconciliation of monthly operating expenses and low production but should even out quickly and go positive once the well is truly producing. We did find a small accounting error on the operators side which we expect to be fixed on the next statement run, but we pushed to get the statements out as quickly as possible.

One other thing to note on this well, we do NOT get top market rate for gas sales. This is typical with Bitcoin operations and if you recall we intend this well to produce oil and taking a small “hit” on the gas sales to get the well into production made sense rather than continue to wait with zero production.

We have made a big jump as far as progress goes on the well. If you recall, we had 15 generators in total to get installed and running. We have 12 up and running and the remaining three are waiting on computers that are needed for the install. We have the well running currently and it’s making good gas pressure and some oil. The production is still depressed due to the 3 generators left, but the well is online to get started on the observation period so we can fully optimize the well’s production once all generators are running. We haven’t made a lot of oil and gas yet because the well is barely on and has only been on for roughly a week. But so far it has already made 4386 MCF of gas and 110 barrels of oil. There is no real “daily/weekly” calculation to draw from this, so please don’t. These are just the numbers that we are looking at from a super preliminary, choked down well. Given that status, these are encouraging happenings.

We will get the remaining generators installed shortly and really need to watch the well’s flow and pressure over the next 30-60 days to know better, what the well is capable of.

We have had some major progress on this JV’s well!! The bitcoin company listened to our frustrations and is making it happen! If you recall, we’ve been waiting on a larger generator to be installed so we can “turn up” the gas production (which we believe will also result in oil production). The larger generators are not readily available so the operator and bitcoin company did the next best thing and got SEVERAL of the smaller generators. We started with 1 and now have 15.

Basically this means once they are installed and linked together we should be able to turn up the gas production. Currently, we are on the tail end of lining out the 15 generator setups. This week we have been connecting the gas lines and expect computers to arrive at the beginning of next week and to be connected and operational by the end of the week. Barring any unforeseen complications we should have this well producing very soon. Chainlink fencing and barbed wire is also being installed around the facility.

We have attached pictures to show you how many generator units have been installed.

We are still waiting on the larger generator install/order to arrive. We keep getting told “they are on the way” and the current ETA is the end of April. We pushed back quite hard on the Bitcoin company demanding they get this done ASAP. While the ETA could work, if it actually happens this time, we are exploring other alternatives again. We can only produce a VERY small amount of gas on the small generator the bitcoin operation has in place, so keeping it like it is, doesn’t make sense.

We are currently looking at these options:

#1 Is laying more (extra pipeline) to reach a different tie-in point, this is a potentially cost prohibitive design (above the initial scope of the JV), so we won’t know for sure until we get all estimates back for this part of the project.

#2 There is a large oil and gas conference that takes place in/near Houston every year in February. It’s called NAPE. Our operator proactively made some connections there this year with other bitcoin operation companies. We are exploring those contacts to see if there is a better option with possibly a different bitcoin company to set up on our location.

We are in active talks on both options, but it will take a bit of time to see which one works better for us. As soon as we have a direction, we will send out an additional update.

As an update to previous emails, The bitcoin operation installed a smaller than planned generator to get us going while we wait for the larger one. That generator has been down the last week and half. They have told us that the new, larger generator should be delivered within the next 2 weeks. We are seeing small amounts of oil already being produced while it was online. We believe once this larger generator is installed we will be able to increase production and keep it much more consistent to generate a positive cash flow.

**Also note, all 2024 K1s have been mailed. If you do not have it by March 5th, please call the office so we can make sure you get it.

Bitcoin ground operations have finished, they had a larger unit on order but in the meantime they were able to hook up a smaller one and get the well online!!! We are going to start out producing at a low rate due to the high tubing pressure and the small choke freezing up. The Bitcoin company should have the larger unit in soon and will install it ASAP so that we can up the production amount. We will continue producing the well as it is, keeping it low enough to prevent the freezing. Once we get the larger unit and increase production, then we still need to see about 30-45 days worth of production to give any reasonable estimate of revenue timeline.

We have attached some pictures to show you what the facility looks like. Basically that “shed like” structure is the bitcoin mining power operation.

We have made some well deserved progress here! Contracts are signed and executed, a gravel/pad site is being laid currently for the equipment and 10NetZero (the bitcoin operation) is scheduled to move their equipment in just after Christmas and before the New Year. We hope to have the work done soon and get the well into production. This project has had frustrating setbacks for everyone, but the fact we are getting equipment down is a very good step and we are very close to getting the well online!

As we indicated in the last update, we put a deadline on finding the lady whose approval we needed for the ROW. Just one day before that deadline, we found the lady’s son, who also happens to be an attorney and had approval to act on his mother’s behalf. So we waited a week to see if anything came from that. Nothing substantial resulted. It’s something we will keep in the background for later if needs be.

So we proceeded to follow the bitcoin (just as a gas purchaser) course. Contracts have been reviewed and minor changes suggested. The Bitcoin company has nearly all their equipment ready to install on site except for something they call “modules” which have been ordered but may take 2-3 weeks to arrive. We are meeting on site next week with them to lay out the dimensions for the small pad site for their equipment and should begin that soon. All in all we are beginning the work to install the bitcoin operation and once that is done, we can hang the well online and get producing!!

As we near the end of the year, we typically get calls regarding K1s. The IRS deadlines for drilling/completion are March 31st of the following year. On wells that do NOT push that deadline, we typically get K1s out around the beginning to middle of February.

As a follow up to last month’s update, we have been pushing to get the right of way signed for this other tie-in point that avoids the hunting club altogether. While the neighbor landowner has been agreeable, there is a small piece of a separate property owned by an older lady that we cannot find. She doesn’t live there and no one knows her but she would have to sign off on the right of way. This is yet again another right of way problem.

We have discussed in great length with the geologist and operator about this well and its continued right of way issues.

We are all in agreement that we need to get this well into production, selling oil and gas. So our course of action here is to put a time limit/date on this right of way situation. We are going to continue to attempt contact including visiting all known addresses but if we do not have contact with her by Friday, Nov 1st, we are going to proceed with the Bitcoin mining operation setup and put the well into production/sales. In that scenario, the bitcoin mining company will ONLY serve as our gas purchaser…(we realize bitcoin is a buzzword but in this case it’s not really relevant) and we will begin selling oil at the same time to a separate oil purchaser.

We have been working and devoting a lot of effort so that we can get this well online. It seems every time we reach what we believe to be a solution, some other monkey wrench gets thrown in the plan. If you recall, the last email, or update was that the owner of the hunting club came back around and began communicating again and everything seemed favorable. That option has added some complication, we just recently found out. Apparently the pipeline company/gas purchaser that has been on his property selling gas (the pipeline we intended to tie into) has been doing so with an expired right of way (technically is illegal) which is easily rectified by communicating and can typically be resolved on the purchaser’s side by paying the landowner. To our knowledge that has not or is not happening and could escalate.

We still have the option of potentially having the bitcoin mining company purchase our gas onsite, and that would allow us to produce and sell oil also (This has been a strong back up plan as far as what we do to get this well up and running, but also not an optimum solution.)

Another solution that has presented itself is a totally separate landowner that met with us on location early this week. He basically has the property next to us and we could tie on his property downstream and avoid the whole hunting club altogether. This is our preferred option. We expect to hear back from the landowner in the next week for his final decision (granted he has a pipeline and gas already moving through his property, so it “seems” like there isn’t much that would keep him from allowing us to tie in there.)

In summary, we are frustrated that we dont have this well online yet. Our tentative course of action (and this is not guaranteed, sometimes the oil and gas industry changes at the drop of a hat) is to follow the option with the new tie in point and landowner, if we can’t come to a solution there, the next best option is to allow the bitcoin company to setup and purchase our gas while we sell the oil and look at it as a “short term, but maybe long term arrangement.”

As soon as we have confirmation on either way, we will advise you! The actual work itself to get tied in or set up with the bitcoin company is not a long process…it’s just getting the correct agreement in place that is taking time.

We have some good “progress” news, but also are cautiously informing you of this. Nothing is ever final until it’s done, but we have resumed communication with the hunting club owner and he has verbally agreed to allow us the right of way to tie into the original pipeline. Although signatures are NOT done, we are feeling confident with the recent communication and latest in person meeting that we will get this resolved. The company slated to perform the actual tie in work is Proline Energy and they are working out easement details with the owner, who has also committed to us to work with Proline and get the well tied in. There has been some College Alma Mater bonding also. (They are all Texas A&M Aggies which, if you don’t know any Aggie graduates, is a big deal and can help facilitate the progress). We are confident enough in the tie in work that we have begun building production facilities on site (pics attached).

We will send out another update once we have further confirmation of the planned tie in procedure.

After reviewing the Bitcoin mining option for getting this well to sales, the price they want to pay is severely less than market value. Due to the stubbornness of the landowner of the hunting club, we will not be able to proceed that way either.

In the meantime, as mentioned previously, prior to drilling a well, we do find potential gas line tie-in spots (ideally to give us options)…we have already begun the process of choosing and negotiating to get tied into a separate location from the hunting club. The operator, Cimarron, has meetings scheduled this week, on location with the landowner to get a deal worked out that we can cross land and tie in. We will let you know how it progresses.

Unfortunately the hunting club has stopped communication regarding the right of way. This is a very odd scenario since they were communicating with positive intentions. The current natural gas climate in Texas can present some hurdles to jump over with regards to gas purchase contracts. Our primary intention when the well was drilled was to produce oil, which we still intend to do and gas was secondary. However, with the amount of gas we believe the well has, it does NOT make sense to “waste” it. So while we knew there were “nearby” pipelines we could tie into, without having a well drilled and gas behind pipe ready to produce, gas purchase contracts and right of ways through property to tie into gas pipelines CANNOT be negotiated.

So that brings us to this issue of having a non cooperative neighbor that prevents us from going a straight shot to the pipeline tie in point. We feel like this has taken longer than anticipated, obviously, so while we sit with no production we do have an option to sell our gas to a bitcoin mining operation which is done somewhat frequently in the industry. It seems like this is the best option currently and could end up being temporary until we are able to tie in to a pipeline or a permanent solution. Worst case is that it would provide us a completion avenue to sell gas and produce oil sooner rather than later.

We have attorneys reviewing the gas purchase contract for details and should have some more information soon and will relay this to you. Having a different gas purchaser we don’t believe will make much difference to the end sales/revenue scenario, but wanted to keep you updated with the progress.

We are still working on the last bit of right away signatures. The land is a small hunting club and they have just been slow. Once we get that signature we have about 3-4 days worth of work laying poly line from the production facility to the sales tap.

We have a plan B as far as ROW is concerned but it will add to the timeline. It’s nice to have a secondary plan but we are so close with the gun club that it makes sense to push a little more there.

We have the gas tie in location chosen and approved. The next step is getting the neighboring landowners permission to perform the work. This is just a formal step. Verbally it’s done but we need to follow the proper course to ensure agreements are fully executed. Right now for getting the paperwork done and work completed, the operator estimates we should be producing into the sales line by the end of May. If that changes we will let you know!

Great news, we have had a rig onsite this week continuing the completion of the well! We had a couple bouts of rain that made it slow to get trucks in and still is.

However, we have begun our flow testing and we like what we are seeing. Pressures are high 2400#s+, and we have the well significantly choked back but it’s still pushing out natural gas and condensate. Interestingly enough, the oil that is being produced is a super high quality gravity (63) nearly similar to jet fuel!! To continue with the work, we do need the location to keep drying but we will keep you updated as we get the well online. Included in this email are some pictures of the work and site.

Just wanted to update you with the gas purchase contracts. We met with 2 of the companies on location this weekend and are awaiting contract details. Unfortunately, that area is getting a lot of rain and has standing water still. It doesn’t affect the well itself, just the ability to get in and out of the location.

There are a couple moving parts to gas production. One is where we tie into the existing gas line and then the landowner who owns the area where we tie in. We are required to get their signoff which isn’t an issue, but there are 2 or 3 locations we are evaluating to tie into that pipeline. Once we have pinpointed the tie in location and the landowner approval, we will let you know! We are anxious to get the well into production but at the same time it would sure be nice to get a spike in gas prices also.

As a follow up from yesterday, pressure continued to build (which is good) but due to the pressure we had the choke, line and gas buster begin freezing. So we shut the well in and our next step is to contact gas purchasing companies and get the best rate for gas sales. Nearly all gas purchasers require evidence of gas (which we have now) before entering a purchase deal.

When we drilled the well and perforated, we injected fluid (water/chemical mixture we call load fluid) in the formation. So that is the liquid you see coming back out under the well’s own pressure. This is supposed to happen and the fact that with the load fluid we returned condensate/oil AND dry gas bodes very well for the potential production.

We are attaching a couple pictures and a clip of some of the gas pressure. Tanks you see are not necessarily permanent sales tanks…once completion is completed and the well is fully online, we will bring in the more permanent sales equipment.

We performed another round of inspection prior to perf’ing. This is done to correlate the depths measured from the different logs. We adjusted the perforation zone by about two feet. The cement bond log was slightly shallower. We review this information a couple different ways to be as accurate as possible.

We initially perf’d a sand at 6900′ that we were NOT as sure of based on the log, but wanted to test it. It resulted in a low pressure slight oil cut feed into the wellbore. The packer was moved down to 7150′ to perforate the Yegua zone that displayed much better potential. Currently we have been watching the feed in rate and also the recovery of the load fluid injected. We see very positive signs.

Immediately after the perf, we had flow back of fluids and pressure on the head that continues to build. These are all very good signs and we will keep an eye on its progress. We attached a pic of the completion rig and also a video clip showing the pressure gauge (hopefully the email does not reduce its quality too much-its a large file). So far we have seen pressure as high as 2000+ psi, dry gas and even seeing some condensate (also pictured in the tube). It might go without saying, but we are very encouraged by what we have seen up to this point.

We were able to get the last of the really wet and heavy mud off location! Equipment and rig arrived late yesterday and we are setting up for the completion of the well. We should begin perforating the potential oil zones mid week. Once a zone is perforated, the well is typically shut in to allow pressure build and measurements and then we monitor what fluids fill the wellbore. We will report the progress as we go!

We have the rig ready to go for the completion process. Unfortunately we have been plagued with intermittent rain so we aren’t totally dry yet. A lot of standing water has been removed already and as soon as the ground is dry enough to avoid getting the machinery stuck in the mud, we will be on site and completing!

We are still watching this and hoping to get a workover rig in soon. There is still quite a bit of standing water so its going to take a little time to dry out. We are going to start to see if we can move some water over the next day or so but it is dry and windy today so that should help. We just got this email from the operator…so we are still delayed but have a plan B going forward. Fingers crossed for some sunshine.

“Just a quick update to let everyone know the status on the API Victory well. It rained the whole time we drilled this well and the rain has not let up with this last week probably being the worst of it all. Price Drilling is finally getting their last 4 loads of equipment (dozer assisted) out this morning, but it is still way too wet to get a workover rig (along with pump, tank, pipe racks, truck to haul tubing in, and wireline truck to run cement bond log and perforate) in to complete the well. The location has standing water on it. There is rain forecasted for this afternoon there, but after that the forecast calls for some sunshine along with a cold front blowing in. We will continue to check the location and get a workover rig in as soon as possible to begin completion operations. If water is still standing next week we plan on getting a rental pump out to pump water off location in order to try to help it dry out.”

We received substantial rain over the weekend on site (estimated 4in). Typically when you get a lot of rain, you get a small delay while it dries out. The issue is it rained yesterday, is raining today and there are a couple more days in the forecast. We are still checking the site, but currently even in 4wd, trucks are sliding off the dirt/mud roads.

As we check the location to monitor the mud, we will update you.

Great news! Completion is scheduled to start next week. We have had some terribly cold weather but as long as it improves this weekend, we should start near the beginning of next week. We have attached the completion procedure and after further analysis, we will be perforating the 6900 ft oil sand first to see what sort of potential it has. Although completions are planned and scheduled, they are extremely dynamic and can change from moment to moment depending on what the well does. As we carry out the completion we will send out updates with the progress!

Earlier today we reached TD (total depth) a bit ahead of schedule!! Throughout the drilling we encountered several depths with shows of oil and fluorescence indicated from the mud logger. It is still early to celebrate, but so far we are very pleased with what we have seen. We had oil shows in what appears to be every formation we anticipated. One very promising aspect is that preliminarily it appears we have come in high on the structures we were looking for, but again we will further review the data to be sure.

Our next step is for Baker Hughes to come onto location and run e logs, that we will correlate to the mud logs and depths where we saw oil indicators. They should be able to run logs either today or tomorrow. We have, however, been battling some downpours that make it difficult to get equipment in and out of our drill site.

Right now we are targeting a conference call for Tuesday as long as Baker Hughes can get in/out of location properly. We will send out another email first thing Monday morning for call details and instructions to participate on the call.

We just passed the 5500ft mark. We are seeing some structure development as we drill that indicates being higher on structure which is exactly what we want when we encounter oil!

We have a mud logger on site who takes samples of the cuttings or the earth that is displaced during drilling. He analyzes the rock makeup and type along with oil/gas presence. Once we reach the total depth of the well (an estimated 7300-7350ft) we run several other tests in the wellbore to compare with the mud log. That information will help us know what potential the well may have.

Drilling should slow quite a bit going forward and right now there is a very loose projection of reaching total depth over the weekend but that could change depending on drilling speed. We will continue to send out updates as we drill and narrow the timeline for total depth as well go!

Happy New Year!! We hope everyone’s holiday has been great! Meanwhile in the field, drilling operations have continued. Surface case was placed and cemented and cured and we got back to drilling right away.

Currently we are just passed 3180 feet deep and drilling ahead. There have been some small gas kicks measured while drilling which is expected and a positive sign but not necessarily indicative of measurable production. We are still somewhat shallow, but everything is progressing as expected. More updates will go out as we get deeper and encounter potential hydrocarbon deposits and formations.

The rig is moving to our location!!!. The rig started tearing down Monday and began hauling equipment to our location in anticipation of the drilling. Currently the timetable is to spud the well (put the bit to the ground) just after Christmas! We expect that to occur around the 27th of this month. When we have confirmation of that, we will send out email updates as we received them from the field.

Just to provide a guideline, drilling time is typically 7-10 days for a well at this depth and then another 24-48 to run ancillary tests on the well to see what potential it could have. Once we have that data, we will organize a conference call. The actual schedule is a little more dynamic than that and decisions are made at a moment’s notice. As we drill, we will be able to predict or narrow that time window.

For K1s, the IRS gives us until March 31st of the following year to conduct work in order to maximize deductions. That probably won’t have much bearing on this well being that we plan to spud on the 27th, but technically we do have until March 31st to spud the well. Normally, K1s are sent by the end of February but we try to get them out a bit sooner than that.

One more thing to note is that our offices will be closed for the Christmas and New Year’s holiday from Dec 22nd until Jan 2nd. Location is mostly complete, we are meeting with the landowner tomorrow morning to confirm the spot for the water well. (We sometimes use water wells on location to provide the necessary water during the drilling process.)

We received word that the #4 rig is at TD (total depth) on the well they are on currently. Logging on that well should be done soon and then they will rig down, and move to us. A very rough estimate is 4-5 days. As we get more information on their move, we can narrow down or correct that estimate!

Just a quick note, it appears we should be able to begin the location/groundwork for this well in the next day or so. Once we have a crew onsite, we will begin digging pits, leveling the location, and building roads. Typically it could take a week or so to complete the ground work, but we do have a rig #4 slotted for us. It is on another location drilling a well right now and then will move to us once completed. The groundwork and the rig’s current job should line up rather nicely schedule wise. We will keep you updated as we go!

Partners!!!

Currently there is rig availability in South Texas to drill this well however we have been delayed due to all the rain the area has received. Typically rain doesn’t slow down work already in progress, but it does prevent us from hauling in heavy equipment and machinery onto location. We had one of the construction managers visit the site and it was still raining while he was there. We got about 5in of rain last weekend so at this point we need to wait until the ground dries enough to move the rig and equipment in. It’s a little bit of an estimation but we probably need about 10 days for it to dry enough before we can build our site in preparation to put a bit in the ground. We will update you again in the middle of next week as to the progress!

Welcome to the API Victory Joint Venture! Just a couple of housekeeping things, ensure your login credentials you received on your welcome letter work. They are case sensitive, If there is an issue, just call us and we will make sure it’s handled.

We will be sending out updates from this email address during the work on the project. During the actual drilling and completion phases, you will receive several emails with updates because there is near daily activity at the well site. Once a well is completed and put online, those update emails go to monthly emails.

Right now, we are waiting on confirmation of a rig moving onto our site! We have ordered the rig, so it should be very soon that we have estimated dates. This email also includes a picture of our well site staked and ready for ground work to begin. As soon as we have more details we will send out another email!
